An item of business at the Central Wisconsin Electric Cooperative annual meeting to be held on Tuesday, April 23, 2019, at the Iola-Scandinavia High School Auditorium are proposed bylaw changes. These changes clarify and modernize the section of the bylaws that describe the director districts, nomination procedure, and the election process for the board of directors. The current language is outdated and does not adequately answer many of the questions that are often raised regarding the nomination and election process. In an attempt to better define these processes, the Cooperative is proposing modifying this area of the bylaws.
Your Board of Directors and legal counsel have reviewed the bylaw amendments and are recommending their approval. Bylaw changes affecting the election of the board of directors must be approved by the membership. A vote on the bylaw amendments will be taken at the annual meeting on Tuesday, April 23, 2019.
